1. Definitions :

Here are the explanations.
Application : The mobile application software named "SBazar" available for download
App/Application Store: Digital Distribution service where the customer downloads the mobile application. eg: Apple App Store operated by Apple Inc. or the Google Play Store operated by Google Inc.
Customer: An individual or a company using the service on their own behalf or on behalf of the company. 
Company: SBazar UG, Masurenstr 9, 50765 Cologne, Germany (referred to as "SBazar", "We", "Us", "The Company")
Device: Electronic devices like mobile phones or Digital Tablets which can use/access the service.
Service: Application software 
Goods: Products or items available for sale on the Service
Orders: Requests made by customers to purchase `Goods` from SBazar
Promotions: Promotional offerings made by SBazar through the service
Deals: Specific promotions offered by SBazar for the benefit of the customer
Terms and Conditions: Agreement between the Customer and the Company. 
Country: Germany 
Feedback: Ideas, opinions and suggestions from customers regarding the provided service of SBazar
Third Party Service: Any offerings, Advertisements, information or services offered/provided by a third party which is displayed or made available by the Company in the Application.

 

2. Introduction :

2.1 By establishing a contract between the Customer and the Company, these Terms and Conditions set forth how this Service may be used. They lay out everyone's obligations and rights in relation to the Service. 

2.2 Acceptance and compliance with these Terms and Conditions are prerequisites for the Customer's use of the Service. All users, visitors, and anyone else who accesses or uses the Service is subject to these Terms and Conditions. 

2.3 The Customer accepts that these Terms and Conditions will apply to their use of or access to the Service. Customers should not access the Service if they disagree with any portion of these Terms and Conditions. 

2.4 Additionally, the Customer must agree to and abide by the Company's Privacy Policy in order to access and use the Service. Our Privacy Policy explains the rules and procedures we follow while collecting, using, and disclosing the customer's personal information while they use the Application or the Website, and it protects the customer's right to privacy. Before using Our Service, We strongly advise that the Customer carefully read Our Privacy Policy. 

2.5 The Customer represents that he or she is legally capable of entering into binding contracts by making an Order for Goods through the Service.

 

3. Order Placement :

3.1 If the Customer desires to make a purchase for Goods available on the Service, they may need to furnish specific information to finalize the Order. Examples of such data include the Customer's name, email address, phone number, credit card number, expiration date, billing address, and shipping details. 

3.2 The Customer asserts and assures that (i) they possess the necessary authorization to utilize credit or debit card(s) or other payment method(s) for placing an Order, and (ii) the information they provide to us is genuine, precise, and comprehensive. the Customer grants Sbazar the right to provide the information to payment processing third parties for purposes of fulfilling the completion of the Order.

4.Order cancellation

SBazar maintains the authority to decline or revoke the Customer's Order at any given moment due to various reasons, which may include, but are not limited to: 

Unavailability of the Goods 
Inaccuracies in the description or pricing of the Goods 
Errors in the Customer's Order 
Suspicion of fraud 
Unlawful transaction

5. Right of Cancellation

5.1 The Customer may only return any Goods they purchase in accordance with the provisions outlined in these Terms and Conditions and our Returns Policy. 

5.2 To gain insight into the right to cancel an Order, it is important for you to carefully review our Returns Policy, as it constitutes an integral component of these Terms and Conditions. 

5.3 The Customer is entitled to exercise the right to cancel an Order, but this right is applicable solely to Goods that are returned in their original received condition. To ensure eligibility for a refund, the Customer must also include all product instructions, documents, and packaging. Hence, the Customer is required to exercise reasonable care while in possession of the purchased goods. 

5.4 SBazar will provide reimbursement to the Customer within a maximum of 14 days from the date of receiving the returned Goods. The reimbursement will be made using the same payment method employed for the original Order, and the Customer will not be subjected to any fees for this reimbursement.

6. Pricing policy

6.1 The Company retains the right to modify its prices at any moment before accepting an Order. 
6.2 The prices indicated for the goods include the tax component and exclude the shipping cost.

7. Payments and payment methods.

7.1 The Customer is required to promptly settle the purchase price for the ordered goods and the delivery charge either upon placing an order or after the conclusion of the contract. 

7.2 Payment options include credit card, PayPal, or other methods the Customer has subscribed to using the single sign-on process. SBazar reserves the right to add or remove payment options on the Application at any time. 

7.3 SBazar uses Mollie third party payment gateway for payment processing. SBazar doesnt store any payment information provided by customer while placing order. 

7.4 Invoices for completed orders will be sent to the Customer via registered email and in application,.

8.Promotions

8.1 Any Promotions made available through the Service may be subject to separate rules that are distinct from these Terms. 

8.2 If the Customer chooses to participate in any Promotions, we strongly recommend reviewing the applicable rules and Our Privacy Policy. In case of any conflict between the Promotion rules and these Terms, the Promotion rules will take precedence. 

8.3 Promotions are typically offered with specific conditions, including but not limited to time or geographical restrictions, limitations for certain customer categories (such as new customers), or specific item requirements. The Customer does not have the right to receive a discount or cash payment. In the event of cancellations, Promotions cannot be refunded or reissued and will therefore expire without replacement. 

8.4 Any attempt to manipulate our Application, Service, or Promotion offers through mass submissions via third parties or consortia, external websites, macros, "scripts," "brute force," masking of identity through manipulation of IP addresses, use of identities other than one's own, or other automated means (including systems that can be programmed to enter) will result in the order and corresponding promotions being voided. SBazar reserves the right to take all reasonable measures to prevent fraudulent or invalid redemption of promotions, including conducting additional reasonable checks and closing the accounts of customers suspected of engaging in such activities. 

8.5 SBazar may deny the application or redemption of a new promotion if a Customer registers a new account using identical or minimally different credit card details, delivery name and address, or a device already associated with our system. 

8.6 If the Customer violates the terms and conditions of a particular Promotion, SBazar reserves the right to declare the Promotion invalid and withdraw it. Additionally, SBazar retains the right to block the Customer at any time in the case of abusive behavior.

9. User Accounts:

9.1 The customer must always give true, comprehensive, and up-to-date information when opening an account with SBazar. The user account on Our Service may be immediately terminated for violating this condition, which is a violation of the Terms. 

9.2 The Customer is in charge of keeping the password they use to access the Service secure. It is understood that the customer won't divulge the password to anybody else. The Customer must notify us right away if they learn of any security breach or unauthorized use of their account. 

9.3 The Customer is prohibited from using a username that belongs to another person or entity, is protected by the rights of another person or entity, or is not permitted without proper authorization. Furthermore, the use of names that are vulgar, obscene, or offensive is strictly forbidden.

10. Intellectual Property and Copyright


10.1 The Service, along with its original content (excluding Content provided by customers), features, and functionality, is and will remain the exclusive property of the Company. 

10.2 The Service is protected by copyright, trademark, and other laws of the country. 

10.3 The use of SBazar trademarks in connection with any product or service requires prior written agreement from the Company. 

10.4 Unauthorized extraction of information from the Application, especially regarding the Goods offered on the Application, in large quantities and/or using the information outside the Application is strictly prohibited while using the Service.

11. Termination

11.1 The customer has the option to terminate the contractual relationship with SBazar regarding their user account at any time by sending an email to contact@SBazar.app 

11.2 SBazar reserves the right to block the Customer’s user account temporarily or permanently without prejudice to the termination rights if the Customer violates these terms and conditions of use, especially if they exceed the granted rights of use. The customer will receive notification regarding the blocking and its duration. While the account is blocked, the customer will not be able to use our service through their user account.

12. Limitation of Liability

12.1 In no event will SBazar be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses resulting from the use of or inability to use the service.

13. Conclusion

13.1 If any provision of these General Terms is deemed invalid in the future, it will not impact the validity of the remaining provisions. 

13.2 The General Terms and conditions are subject to the laws of the Federal Republic of Germany. 

13.3 In the event of any concern or dispute regarding the Service, the Customer agrees to make an initial attempt to resolve the matter informally by contacting the Company. 

13.4 SBazar has the right to modify these General Terms and conditions any time. 

13.5 The current version of the General Terms can be accessed by the Customer on both the website and the Application. We will not make any significant modifications to the General Terms or restrict Customers' rights without prior notice. In the event of such changes, SBazar will notify the Customer at least six weeks before the revised General Terms come into effect. If the Customer does not agree with the amended General Terms, they have the right to terminate the contract immediately. Failure to exercise this right of termination will indicate the Customer's acceptance of the General Terms. SBazar will provide information on this matter and its implications in the notification regarding the changes to the General Terms. 

13.5 In the event of a dispute, the Customer acknowledges that the original English text shall take precedence.
